1. Acceptance of Terms

By accessing or using the WorldChangers website located at https://www.worldchangers.network/ (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Site.

These Terms apply to all visitors, users, founders, and any other person who accesses or uses the Site in any capacity.

WorldChangers is operated by Hawl Technologies LLC, a Texas limited liability company ("WorldChangers," "we," "us," or "our").

2. Description of Services

WorldChangers is a startup accelerator that supports early-stage technology founders ("Founders") through a batch-based curation process. Our services include:

• Information about the WorldChangers network and batch process
• Applications for Founders seeking inclusion in a batch
• Mentorship, resources, and programming for accepted Founders
• Scheduling and meeting coordination between Founders and mentors
• Community access for accepted participants

WorldChangers does not provide investment advice, broker-dealer services, financial planning services, or legal advice. Nothing on this Site constitutes an offer or solicitation to buy or sell securities.

3. Eligibility

By using this Site, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding agreements in your jurisdiction
• Your use of the Site does not violate any applicable law or regulation in your jurisdiction
• If you are accessing the Site on behalf of a company or organization, you have authority to bind that entity to these Terms

WorldChangers does not solicit investments from retail investors and does not offer or sell securities directly to users of the Site.

4. User Accounts and Registration

When you create an account on the Site, you agree to:

• Provide accurate, complete, and current information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate any account at our sole discretion, including for violation of these Terms, provision of false information, or conduct that we determine to be harmful to the WorldChangers community.

5. Founder Applications

Submission of Applications

By submitting a Founder application, you represent that all information provided is true, accurate, and not misleading. Submission of an application does not guarantee acceptance into any batch.

Curation and Selection

WorldChangers retains sole and absolute discretion to accept or reject any application for any reason or no reason. Our curation decisions are final and we are under no obligation to provide reasons for rejection.

No Investment Advisory Relationship

Acceptance into a WorldChangers batch does not constitute investment advice or an endorsement of any startup's business, products, or prospects.

No Guarantee of Outcomes

WorldChangers makes no representations or warranties regarding the quality, viability, or future performance of any startup admitted to a batch.

6. Prohibited Conduct

You agree not to:

• Provide false, misleading, or fraudulent information in any application or communication
• Use the Site to solicit investments in violation of applicable securities laws
• Contact or solicit other users outside of the WorldChangers platform for purposes unrelated to legitimate accelerator program activities
• Attempt to circumvent the curation process by misrepresenting your qualifications or traction
• Use information obtained through WorldChangers to recruit, solicit, or poach founders or other participants to any competing platform, network, or fund
• Reproduce, distribute, or publicly disclose any confidential information about other participants obtained through the WorldChangers platform
• Reverse engineer, scrape, or extract data from the Site
• Use the Site for any unlawful purpose or in violation of any applicable regulation

7. Confidentiality of Participant Information

Information shared by Founders within the WorldChangers platform — including but not limited to business plans, financial information, and meeting content — is confidential ("Confidential Information").

By participating in WorldChangers, you agree to:

• Keep all Confidential Information strictly confidential
• Use Confidential Information solely for the purpose of the applicable partnership within the WorldChangers context
• Not disclose Confidential Information to any third party without the prior written consent of the disclosing party
• Return or destroy Confidential Information upon request

This obligation survives termination of your participation in WorldChangers.

8. Intellectual Property

Our Content

All content on the Site, including but not limited to text, graphics, logos, and the WorldChangers brand, is owned by or licensed to Hawl Technologies LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Your Content

By submitting any content to the Site — including application materials, profile information, and communications — you grant WorldChangers a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content for the purpose of operating the platform. You retain ownership of your content.

You represent that you own or have the right to submit all content you provide, and that such content does not infringe the intellectual property rights of any third party.

9. No Securities Offering

Nothing on this Site constitutes:

• An offer or solicitation to buy or sell any security
• Investment advice or a recommendation regarding any investment
• A broker-dealer relationship between WorldChangers and any user

WorldChangers is not a registered broker-dealer, investment adviser, or funding portal under applicable US or international law. Founders are responsible for ensuring their activities comply with all applicable securities laws in their jurisdictions.

10. Privacy and Data Collection

WorldChangers collects personal information including email addresses and application information as described in our Privacy Policy, which is incorporated into these Terms by reference.

By using the Site, you consent to the collection and use of your information as described in our Privacy Policy.

We take reasonable measures to protect your information, but cannot guarantee absolute security. You provide information at your own risk.

For users in the European Union, your data rights under GDPR apply. For users in other jurisdictions, we comply with applicable local data protection laws to the extent practicable.

11. Disclaimers

THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

WORLDCHANGERS MAKES NO WARRANTIES REGARDING:

• THE ACCURACY OR COMPLETENESS OF ANY INFORMATION ON THE SITE
• THE RESULTS OF ANY INTRODUCTION OR MEETING FACILITATED THROUGH THE PLATFORM
• THE FITNESS OF ANY FOUNDER FOR ANY PARTICULAR PURPOSE
• THE UNINTERRUPTED OR ERROR-FREE OPERATION OF THE SITE

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAWL TECHNOLOGIES LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR PARTICIPATION IN WORLDCHANGERS, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST INVESTMENT RETURNS, OR LOSS OF DATA.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Hawl Technologies LLC and its members, managers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Site
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you submit to the Site
• Any dispute between you and another user

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Site shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Austin, Texas. Each party shall bear its own costs.

Notwithstanding the above, WorldChangers may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

15. Force Majeure

WorldChangers shall not be liable for any failure or delay in the performance of its obligations under these Terms, including operation of the Site or delivery of accelerator programming, to the extent such failure or delay is caused by circumstances beyond its reasonable control. These circumstances include, without limitation, acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, labor disputes, epidemic or pandemic, governmental action or regulation, internet or telecommunications failures, and failures of third-party service providers such as Supabase or Google Workspace.

Our obligations under these Terms will be suspended for the duration of such an event, and we will use commercially reasonable efforts to resume performance once the event has ended.

16. Assignment

You may not assign, transfer, or delegate these Terms, or any of your rights or obligations under these Terms, whether by operation of law or otherwise, without our prior written consent. Any purported assignment, transfer, or delegation in violation of this section is void.

We may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. These Terms will bind and inure to the benefit of the parties and their respective permitted successors and assigns.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Site after such changes constitutes acceptance of the revised Terms.

18. Termination

We may terminate or suspend your access to the Site at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Site ceases immediately. Provisions that by their nature should survive termination — including confidentiality, IP ownership, indemnification, and limitation of liability — shall survive.
